Multistate Deals — PRICE: $370,000,000 BUYER: Sinclair Bcst Group (David Smith, president,CEO) SELLER: Barrington Broadcasting (James Yager, president/CEO) COMMENT: Sinclair Broadcast Group has entered into a definitive agreement to purchase the broadcast assets of television stations owned by Barrington Broadcasting Group LLC for $370M. Barrington also holds and has exercised purchase options for SagamoreHill Broadcasting’s WWMB Florence, SC and Tucker Broadcasting’s WGTU Traverse City and WGTQ Sault Ste Marie, MI. Sinclair has assigned to Howard Stirk Holdings LLC and Cunningham Broadcasting its rights under the purchase agreement to acquire the option stations. Barrington, in turn has entered into an option exercise agreement with each of SagamoreHill and Tucker in which SagamoreHill has agreed to convey WWMB directly to Howard Stirk Holdings LLC and Tucker has agreed to convey WGTU and WGTQ directly to Cunningham. Barrington will assign its rights and obligations under a grandfathered LMA with WWMB and an existing JSA and SSA with WGTU and WGTQ. SagamoreHill will assign its’ rights under the  grandfathered LMA with WWMB to Howard Stirk Holdings LLC and Tucker will assign it’s rights under an existing JSA and SSA with WGTU and WGTQ to Cunningham. In addition Sinclair will assume Barrington’s right and obligations under pre-existing agreements (JSA and SSA) with WHOI Peoria, IL and WTVH Syracuse, NY.
